Investment Adviser Registration and Qualifications

Meridian Venture Partners, Inc. (MVP), CRD 332975, offers investment advisory services only where the firm and its representatives are properly registered or exempt. Registration does not imply regulatory endorsement or a particular level of skill or training.

Our advisory professionals' investment adviser qualification is Series 65. Passing the examination does not itself authorize securities brokerage activity or establish an effective adviser registration. Certain professionals separately hold California life and health insurance licenses.

Advisory Fees, Outside Insurance Activities, and Conflicts

Insurance is sold through separate companies, not MVP. Those professionals receive outside insurance commissions, which create an incentive to recommend insurance and a conflict of interest. MVP is compensated through AUM-based advisory fees under its advisory agreements, not insurance sales commissions. Advisory fees for managing eligible assets associated with an insurance product are separate from the outside insurance sale. Clients need not follow insurance recommendations or purchase through these professionals and may choose another licensed insurance professional.

Advisory services and insurance sales are separate engagements. Insurance products have their own charges, exclusions, surrender terms, and insurer obligations. The applicable advisory agreement and Form ADV describe MVP's advisory fees and material conflicts; an insurance contract and the selling company's disclosures describe the insurance transaction.

Different types of investments involve varying degrees of risk, and there can be no assurance that any specific investment or strategy will be profitable or suitable for a particular investor's financial situation or risk tolerance.

No investment strategy or risk management technique can guarantee returns or eliminate risk in any market environment. All investments include the risk of loss that clients should be prepared to bear. The value of investments and the income derived from them can go down as well as up.
